LLC for Real Estate Investors
One lawsuit from a tenant can take your personal house if you own rentals in your own name. Here’s how investors structure LLCs for rentals, flips, and portfolios — holding company, Series LLC, anonymity, and financing realities.
Why Real Estate Investors Use LLCs
Personal name ownership = personal liability. LLC changes that.
What Happens Without LLC
If you own rental in your personal name and tenant slips, mold issue, dog bite, or contractor injury happens, they can sue you personally and go after your personal house, car, savings, and other rentals. Insurance helps but has limits and exclusions — Umbrella policy doesn’t cover all. LLC creates separate legal entity that owns property, so lawsuit generally limited to assets inside that LLC if you maintain separation.
Asset Protection
Personal assets protected from tenant lawsuits, premises liability, and rental debts if LLC maintained properly with separate bank accounts, leases, and insurance.
Anonymity (State Dependent)
Arizona, New Mexico, Delaware don’t list member names publicly — your LLC can own property without your personal name on public Corporation Commission search. California, New York do list members.
Tax Flexibility + Estate
Rental LLC taxed as disregarded (single-member) or partnership (multi-member) by default — pass-through, no double tax. Easier to transfer ownership via LLC membership interest than deed. Can elect S-corp for flipping business (active income) but rentals usually stay disregarded.
How Investors Structure LLCs for Real Estate
No one-size-fits-all — depends on number of properties and risk tolerance.
| Structure | How It Works | Best For | Cost |
|---|---|---|---|
| 1 LLC for All Properties | One LLC owns all rentals — simple, cheap | Beginner with 1-2 low-value rentals, low risk tolerance for complexity | $50-$200 formation + $0-$800/yr compliance |
| 1 LLC Per Property | Each rental in separate LLC — if property A sued, property B protected | Investors with 3+ properties or high-value properties, max protection | $50-$200 per LLC + registered agent per LLC |
| Series LLC | One parent LLC with separate child series, each series owns one property with separate liability — available in AZ, TX, DE, IL, NV, UT, etc. | Investors in Series states with many doors who want 1 LLC per property protection but cheaper | $50-$500 parent + $0-$50 per series |
| Holding LLC + Operating LLC | Holding LLC owns properties, Operating LLC manages them (collects rent, deals with tenants) — lawsuit against manager doesn’t reach holding | Investors with property management arm or partners handling operations | 2 LLCs + DBA for management |
Series LLC for Real Estate — Worth It?
Series LLC is allowed in 21 states including Arizona, Texas, Delaware, Illinois, Nevada, Utah. You form one parent Series LLC, then create separate series (child cells) for each property. Each series has separate liability if you maintain separation — like having multiple LLCs but paying one registered agent and one annual report (in most states).
Arizona Series LLC: $50 formation for parent + $0 per series + $0 annual report — huge savings vs 5 separate LLCs ($250 formation). Texas: $300 parent + $0 per series. Delaware: $90 parent + $75 per series.
Caveat: Not all states recognize Series LLC liability shield — California doesn’t, so if you own CA property in AZ Series LLC series, CA courts may not respect separation. Use separate LLCs for properties in non-Series states.
Financing reality: Most conventional lenders won’t lend directly to LLC for new purchase — they require personal name for mortgage, then you quitclaim deed to LLC after closing (triggers due-on-sale clause technically, but rarely enforced if mortgage current — check with lender). DSCR lenders and portfolio lenders will lend directly to LLC with personal guarantee. Insurance must be in LLC name once deeded.
Best States for Real Estate LLC Anonymity & Cost
Where you form LLC affects privacy, fees, and whether you need foreign qualification.
| State | Formation Fee | Annual Fee | Member Names Public? | Series LLC? | Best For |
|---|---|---|---|---|---|
| Arizona | $50 | $0 — No annual report | No — Privacy | Yes — $0 per series | Investors wanting privacy + Series + $0 ongoing |
| New Mexico | $50 | $0 | No — Most private state | No | Cheapest anonymous LLC, but not Series |
| Wyoming | $102 | $60 | No | Yes — $0 per series | Anonymous + asset protection, but need foreign qualify where property located |
| Texas | $300 | $0 | Yes | Yes — $0 per series | TX investors, Series, no annual fee |
| Delaware | $90 | $300 | No — Privacy via agent | Yes — $75 per series | Large portfolios, investors wanting Delaware law, but $300/yr tax |
| California | $70 | $20 + $800 franchise tax | Yes — Public | No — Doesn’t recognize Series shield | Only if property in CA — form in CA, don’t use WY/NM to avoid $800 anyway |
Rule for rentals: Form LLC in state where property is located. If you own rental in Arizona, form LLC in Arizona — $50 + $0 annual, anonymous, Series available. If you form Wyoming LLC to own Arizona rental, you must foreign qualify in Arizona anyway ($150) and pay both states. Only form out-of-state if you have holding company strategy or privacy need and understand double fees.

How to Set Up LLC for Rental Property
Do this before you close or right after — order matters for financing.
- 1Form LLC in Property State
If rental in Arizona, form LLC in Arizona — $50, anonymous, $0 annual report, Series available. Don’t form Wyoming LLC for Arizona rental unless you want double fees. Check name availability, file Articles, get approval 1-2 days.
- 2Get EIN and Operating Agreement for Rentals
Get EIN free at IRS.gov — needed for bank account. Operating Agreement should include purpose: acquisition, leasing, management of real property, specify who can sign leases, loans, and sale docs.
- 3Open Separate Bank Account Per LLC
Each LLC should have its own checking account — rent collected into LLC account, expenses paid from LLC account. Commingling destroys liability shield. Mercury, Novo, Relay allow multiple accounts for multiple LLCs easily.
- 4Deed Property to LLC + Update Insurance + Leases
After closing (or before if DSCR lender), quitclaim deed or warranty deed property to LLC. Update insurance to LLC as named insured + you as additional insured. Update leases to show LLC as landlord, not personal name. Notify tenants to pay LLC.
- 5Maintain LLC — Don’t Pierce Veil
Sign everything as “John Doe, Manager of Pawtastic Rentals LLC” not personal name. Keep separate books, file annual reports (Arizona $0, so easy), keep registered agent active, don’t pay personal groceries from LLC account. Annual meeting minutes even for SMLLC.
Real Estate LLC FAQ
Depends on value and risk. 1-2 low-value rentals can share one LLC to save costs. 3+ rentals or high-value properties ($300k+ each) — separate LLC per property or Series LLC gives max protection: if property A gets sued for $500k, property B not at risk. Cost is $50-$200 per LLC + registered agent. Series LLC in AZ/TX/DE saves on agent fees.
Most conventional lenders (Fannie/Freddie) lend to personal name, not LLC. Strategy: Close in personal name to get best rate, then quitclaim deed to LLC after closing. Technically triggers due-on-sale clause, but lenders rarely enforce if mortgage current and you notify. DSCR lenders and portfolio lenders lend directly to LLC with personal guarantee — higher rate but LLC owns from day one.
No — if you personally guarantee loan (most LLC loans require personal guarantee), you are personally liable for mortgage debt even if LLC owns property. LLC protects from tenant lawsuits, not from guaranteed debts. Some non-recourse DSCR loans don’t require personal guarantee if LTV low and property cash flows — rare but possible.
Series LLC is cheaper — one parent LLC, one agent, $0 per series in Arizona, separate liability per series if you maintain separation (separate bank accounts, books per series). Separate LLCs are more universally recognized — all 50 states respect separate LLC liability, but not all states respect Series liability shield. If you own rentals in California or New York (non-Series states), use separate LLCs, not Series.
Wyoming is anonymous and $102 formation + $60 annual, but if property is in Arizona, you must foreign qualify Wyoming LLC in Arizona ($150) + maintain both states = more cost than just forming Arizona LLC ($50 + $0 annual) which is also anonymous (Arizona doesn’t list members). Only use Wyoming if you want Wyoming law or holding company outside property state. For most investors, form LLC where property is.
Yes. Rentals = passive income — taxed as disregarded/partnership, not subject to self-employment tax, can deduct depreciation. Flipping = active business income — subject to self-employment tax if in LLC default taxed. Flippers often elect S-Corp to save SE tax on profits, or use C-Corp for flips. Many investors have one LLC for rentals (disregarded) and separate LLC taxed as S-Corp for flips.
